Welcome to Web Neuro. These Terms & Conditions ("Terms") govern your access to and use of the services ("Services") provided by Web Neuro Inc. ("Web Neuro," "we," "us," or "our"). By engaging our services, you ("Client," "you") agree to be bound by these Terms.

1. Services & Scope of Work
Web Neuro provides a range of digital services, including but not limited to subscription-based websites, Search Engine Optimization (SEO), and social media management. The specific details and deliverables of the Services you purchase are described on the service pages of our website, which constitute the Statement of Work (SOW).

2. Subscription Term & Agreement

  • Initial Commitment Period: All subscription-based Services require an initial, non-cancelable contract term of twelve (12) consecutive months ("Initial Term"), regardless of whether you choose a monthly or annual billing cycle.
  • Renewal: Upon completion of the Initial Term, your subscription will automatically renew on a flexible month-to-month basis unless cancelled in accordance with Section 4.
  • Billing: Your payment method will be charged in advance for each billing period (either monthly or annually).

3. Payment Terms

  • Subscription Fees: Fees are billed in advance. Prices are as published on our website at the time of subscription.
  • Late Payments: Payments not received within 14 days of the due date may result in the suspension of all Services.
  • Price Changes: We reserve the right to modify pricing for renewals. We will provide you with at least sixty (60) days' written notice of any price changes via the email address associated with your account.

4. Cancellation & Termination

  • Cancellation During Initial Term (First 12 Months): Your subscription is non-cancelable during the 12-month Initial Term. If you choose to terminate services during the Initial Term, you remain liable for all fees due for the remainder of the Initial Term.
  • Cancellation After Initial Term: Once your subscription has completed the Initial Term and converted to a month-to-month basis, you may cancel at any time by providing thirty (30) days' written notice to support@webneuro.com. Your subscription will end at the conclusion of the next full billing cycle.
  • Termination by Web Neuro: We reserve the right to terminate Services for non-payment or a material breach of these Terms.

5. Refund Policy
All fees are non-refundable. There are no refunds or credits for partially used periods, including for annual plans that are cancelled before the end of the 12-month term.

6. Post-Cancellation: Domain & Website Options
Upon the conclusion of your service term (after the Initial Term), the following options are available for website subscription plans:

  • Domain Name Transfer: If we manage your domain, you may take full control of it for a one-time administrative fee of $75.00 CAD.
  • Website Files Migration (Buyout Option): You may purchase the website files (design, content, assets) to host elsewhere for a one-time migration and buyout fee of $150.00 CAD.

7. Intellectual Property (IP) Rights

  • Client-Provided Content: You retain 100% ownership of all content you provide to us.
  • Subscription Websites: During your active subscription, you have a license to use the website we build and manage. Ownership of the website design and files is transferred to you only upon payment of the Website Files Migration fee.
  • Our Tools: We retain ownership of all our pre-existing code, tools, platforms, and software.

8. Website Credit
As a condition of our subscription service, you agree that we reserve the right to place a small, unobtrusive credit link in the footer of your website. This credit is automatically removed if you elect the Website Files Migration (Buyout Option).

9. Privacy & Data Protection
Our collection and use of your personal information is described in our full Privacy Policy.

10. Limitation of Liability
To the maximum extent permitted by law, Web Neuro's total liability for any claim shall not exceed the total fees you have paid to us in the preceding six (6) months.

11. Amendments
We reserve the right to modify these Terms. We will notify you of any material changes, and your continued use of our Services will constitute acceptance of the new Terms.

12. Governing Law
These Terms shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
